WHEREAS, Assignor is the owner of, and has perpetual rights to capital credits associated with Continental Divide Electric Cooperative (CDEC) member account;

WHEREAS, Assignor desires to donate
all future retired
only the currently retired
year(s) of capital credits associated with the CDEC member account to the Continental Divide Electric Foundation;

WHEREAS, Assignor has the right to assign these capital credits to the Assignee for deposit into the Continental Divide Electric Foundation.

NOW THEREFORE, IT IS AGREED AS FOLLOWS:

AGREEMENT

1. Assignment. Upon the execution of this Agreement, Assignor agrees to assign the capital credits defined above to Assignee (CDEC) for deposit into the Continental Divide Electric Foundation.
2. Term. This Assignment shall be effective for the years specified above. "All future capital credits" means in perpetuity.
